Article of Incorporation

ARTICLE I. Name and Geographic Area

Section 1 – This Chapter shall be known as the “The Midwest Chapter of the International Chinese Statistical Association”.

Section 2 – The geographical area covered by this Chapter shall be the following states: Illinois, Indiana, Iowa, Kansas, Michigan, Minnesota, Missouri, Nebraska, North Dakota, Ohio, South Dakota, and Wisconsin.

ARTICLE II. Objectives

The objectives of this Chapter shall be as follows:

  1. To provide a forum for researchers engaged in statistical research and practice to discuss their current problems and to provide a medium for their mutual self-improvement;
  2. To implement the objectives and program of the International Chinese Statistical Association within the Chapter area;
  3. To advocate and promote good statistical education and practice to the general public, civic groups, government officials and employees;
  4. To encourage and facilitate cooperative action among government, academia and industries within the Chapter area on statistical problems of mutual concern; and
  5. To promote the involvement of statistical professionals in the ICSA activities within the Chapter area

ARTICLE III. Chapter Membership

Section 1 – Membership in the Chapter shall be open to any person within the Chapter area who is a member of the International Chinese Statistical Association.

Section 2 – The annual dues for Chapter membership shall be established by the Chapter’s Executive Committee and shall not be greater than ICSA membership dues.

Section 3 – Only the members in this Chapter shall be eligible to stand for election and to vote for the officers of this Chapter.

ARTICLE IV. Chapter Executive Committee

Section 1 – The Chapter Executive Committee shall consist of a Chair, a Chair-elect, a Past Chair, a Secretary and a Treasurer.

Section 2 – The Chapter Chair-Elect shall be elected annually using ICSA online election tool, serving as such for one year, and shall then become Chapter Chair for the following year, and Past- Chair the next year.

Section 3 – The Chapter Secretary/Treasurer shall be elected for three-year terms. The Chapter Secretary/Treasurer shall be elected once every three years starting 2016.

Section 4 – No one shall be a member of the Executive Committee for more than six consecutive years.

Section 5 – Term of office shall start normally on Jan. 1 of the next year of the election.

Section 6 – Unless otherwise changed by the Executive Committee, it is expected that on or before September 1 of each year, the Chapter Chair shall appoint an Election Committee consisting of the Past-Chair and at least two members of the Chapter who have agreed not to run in the next election.

Section 7 – The Election Committee shall submit at least one nomination for each position on the Chapter Executive Committee which will be vacant. Additional nominations must be supported in writing by at least five members of the Chapter, and must be received by the Past-Chair on or before December 1 of the year preceding the election.

Section 8 – Unless otherwise changed by the Executive Committee, it is expected that on or before December 1 of each year, the Chapter Past-Chair shall provide the Chair of the Election Committee with a list of candidates for the positions to be filled the following year.

Section 9 – In the event a member of the Chapter Executive Committee cannot serve a full term, the remainder of the Chapter Executive Committee shall appoint a successor to serve for the balance of the term to which the Executive Committee member was elected.

ARTICLE V. Duties of Officers and the Executive Committee

Section 1 – The Chapter Chair shall be responsible for the affairs of the Chapter, and shall serve as, or designate, the presiding officer at business meetings of the Chapter or of its Executive Committee.

Section 2 – The Chapter Chair-Elect shall act as Chair in the event the Chair is absent or unable to serve, serve as Program Representative for the Chapter to the Program Committee of the ICSA for its Annual Meeting to be held in the year of his/her chairmanship, and coordinate other statistical and professional meetings sponsored by the Chapter.

Section 3 – The Chapter Past-Chair shall provide continuity in the affairs of the Chapter, chair the Elections Committee of the Chapter, and act as liaison with the Elections Committee of the Society.

Section 4 – According to the ICSA Constitution (Article VI), the Chapter Secretary and Treasurer shall be served by the same person. The Chapter Secretary/Treasurer shall serve as secretary of annual and other business meetings of the Chapter or of its Executive Committee, prepare the minutes of such meetings, keep these minutes and other records of the Chapter, maintain a list of current members, respond to requests from members, and see that all notices are duly given in accordance with these regulations. The Chapter Secretary/Treasurer shall manage the fiscal affairs of the Chapter, and shall present an annual budget for the Chapter to the Executive Committee of the ICSA and to the annual meeting of the Chapter.

ARTICLE VI. Chapter Meetings and Workshops

Section 1 – One general meeting of the Chapter shall be held annually. The Chair sets the time and place of the Chapter meeting, and the Secretary/Treasurer shall notify the members. Additional general meetings shall be held whenever requested by the one third of all members, or by the Chapter Executive Committee. Any such request must be filed with the Secretary at least 30 days prior to the date of the proposed meeting.

Section 2 – The Chapter shall hold up to two workshops each year at times and places to be determined by the Chapter Executive Committee. Written notice of workshop shall be sent to each member of the Chapter at least 30 days prior to the workshop.

ARTICLE VII. Amendments

Section 1 – Proposed amendments to these bylaws may be initiated by action of the Executive Committee or upon written petition signed by at least 30 members of the Chapter. Amendments initiated by petition shall be addressed to the Chair for submission to the Chapter membership.

Section 2 – Proposed amendments shall be transmitted by the Secretary/Treasurer to the members in writing, at least 30 days in advance of the date on which they are to be voted on by the members. In the case of proposed amendments initiated by petition, the text of the amendment may be accompanied by the recommendation of the Executive Committee.

Section 3 – Before any amendments to these bylaws are formally presented to the Chapter membership for consideration, the Secretary/Treasurer shall submit the proposed amendment or amendments to the International Chinese Statistical Association with a request that the proposed bylaw change(s) be reviewed for conformity with policies of the International Chinese Statistical Association as established by the Board of Directors. No action on these proposed amendments will be taken until a response to a request for review has been received by the Chapter.

Section 4 – Any amendments to these bylaws deemed by the Board of Directors to be in conflict with the objectives or policies of the International Chinese Statistical Association shall be referred back to the Chapter membership.

ARTICLES VIII. Chapter Liabilities

The International Chinese Statistical Association is not responsible for any liabilities this Chapter might incur.

ARTICLE IX. Effective Date

These bylaws shall become effective upon approval by the Board of Directors of the International Chinese Statistical Association.
